Terms of Service

1. Introduction and Acceptance

These Terms of Service govern access to and use of KriyaOS, a platform operated by Nextribes that helps users create, configure, and deploy AI agents for business use.

By accessing or using KriyaOS, including joining the waitlist, creating an account, using a workspace, participating as a team member, or interacting with agents made available through the platform, you agree to these Terms.

If you use KriyaOS on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility and Access

To use KriyaOS, you must meet the following requirements:

• You must be at least 18 years old or otherwise have the legal capacity to enter into a binding agreement.
• If you act for a company, team, or other organization, you must have authority to act on its behalf.
• Access may be limited to approved users, including users on a waitlist or in an early-access program.

Joining a waitlist or receiving early access does not guarantee continued access to the service. We may grant, limit, suspend, or revoke access at our discretion.

Users are responsible for maintaining the confidentiality of account credentials and for activity that takes place under their account or workspace access.

3. Use of the Platform

Subject to these Terms, users may use KriyaOS to create, manage, test, and deploy AI-powered agents, including for commercial purposes.

Users may not use the platform to:

• Engage in unlawful, fraudulent, harmful, or deceptive activity.
• Upload, transmit, or process content that infringes third-party rights or violates applicable law.
• Send spam, unsolicited communications, or abusive content.
• Reverse engineer, copy, interfere with, or attempt to disrupt the platform or related systems.
• Abuse infrastructure, overload systems, or misuse integrations or API access.
• Bypass safeguards, permissions, access restrictions, or security controls.

We may monitor platform usage for security, abuse prevention, operational reliability, and policy enforcement, but we do not promise active or continuous monitoring of all activity.

4. User Content and Responsibility

KriyaOS allows users, workspace owners, and team members to provide, connect, configure, and process content through the platform and through agents.

Users acknowledge that content made available to agents may be reflected, summarized, surfaced, or otherwise exposed through agent outputs, including when agents are shared publicly or used in external customer interactions.

KriyaOS does not control and is not responsible for user content, the legality of that content, or the way users choose to configure or use it.

5. AI-Generated Output

KriyaOS uses AI systems to generate outputs and support user-configured experiences. AI-generated responses may be incomplete, inaccurate, inconsistent, or unsuitable for a particular situation.

Outputs are provided on an automated basis and are not guaranteed to be correct, available, or fit for a specific purpose.

KriyaOS does not provide legal, financial, medical, or other professional advice, and AI-generated output should not be treated as a substitute for qualified human judgment.

Users are responsible for reviewing, validating, and approving outputs before relying on them in customer communications, business operations, or decision-making. To the extent permitted by law, we are not liable for decisions, actions, or losses arising from reliance on AI-generated outputs.

6. Use of Data in AI Processing

KriyaOS processes data submitted through the platform only as needed to provide the service, including supporting agent interactions, retrieval, and response generation.

We do not use customer data or data from users interacting with agents to train foundation AI models.

Users remain responsible for choosing what information they provide to the platform and for determining whether that information is appropriate for their intended use.

7. Intellectual Property

KriyaOS, including the platform, software, user interface, branding, documentation, and related materials, is owned by Nextribes or its licensors and is protected by applicable intellectual property laws.

Users retain ownership of the prompts, knowledge sources, uploaded data, configurations, and other content they provide to the platform.

By using KriyaOS, users grant Nextribes a limited, non-exclusive license to host, store, process, reproduce, display, and use that content only as needed to operate, maintain, secure, and provide the service to the relevant workspace.

8. Third-Party Services and Integrations

KriyaOS may rely on third-party infrastructure, AI systems, analytics tools, communications providers, and integrations to deliver parts of the service.

When users connect or rely on third-party services through KriyaOS, use of those services may also be subject to the terms, policies, and practices of the relevant third party.

Nextribes is not responsible for third-party services, products, or systems that are outside our control, including their availability, performance, security, or content.

9. Paid Plans, Billing, and Pricing

KriyaOS is offered on paid plans. Features, usage limits, and access levels may vary based on the plan associated with a workspace.

Pricing may change from time to time. Where applicable, updated pricing will apply on a forward-looking basis after notice or publication through the service.

Continued access to certain features or workspaces may depend on timely payment and an active plan. If payment is not received or a billing issue occurs, we may limit or suspend access until the issue is resolved.

Unless otherwise stated in a separate written agreement or required by law, fees are generally non-cancellable and non-refundable.

10. Suspension and Termination

Nextribes may suspend, restrict, or terminate access to KriyaOS or a workspace if we reasonably believe a user has violated these Terms, misused the platform, created legal, operational, or security risk, or where suspension is necessary to protect the service, other users, or to comply with law.

Users may stop using the platform at any time.

Suspension or termination may affect access to workspaces, agents, configurations, conversation records, knowledge sources, and other related content, and some data may no longer be available after access ends.

11. Service Availability and Disclaimer of Warranties

KriyaOS may evolve over time, and we may update, modify, suspend, limit, or discontinue features or parts of the service.

We do not guarantee that the platform will always be available, uninterrupted, error-free, secure, or suitable for every use case.

To the fullest extent permitted by law, KriyaOS is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, except to the extent that such warranties cannot be excluded under applicable law.

12. Limitation of Liability

To the fullest extent permitted by law, Nextribes will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or business opportunity arising out of or related to the use of KriyaOS.

This includes, without limitation, losses arising from inaccurate or incomplete AI-generated outputs, user-provided content, user configurations, third-party services, downtime, security incidents, failed communications, or misuse of the platform by any user or third party.

To the extent Nextribes is found liable for any claim related to KriyaOS, our total aggregate liability will not exceed the amount paid by the relevant user or workspace for the service in the 12 months preceding the event giving rise to the claim, or, if no amount was paid, a nominal amount permitted under applicable law.

13. Indemnification

Users agree to defend, indemnify, and hold harmless Nextribes, its affiliates, and its personnel from and against claims, liabilities, damages, losses, and reasonable expenses arising from or related to:

• Their content, data, prompts, knowledge sources, or integrations.
• Their misuse of KriyaOS or violation of these Terms.
• Their violation of applicable law or third-party rights.
• The public deployment or operation of agents that generate harmful, unlawful, infringing, misleading, or abusive behavior or outputs.

14. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to KriyaOS or these Terms will be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India, unless applicable law requires otherwise.

Before formally initiating a dispute, the parties should make a good faith effort to resolve the matter by contacting the other party and allowing a reasonable opportunity to discuss and address the issue.

15. Changes to the Terms

Nextribes may update these Terms from time to time to reflect changes to the service, business practices, legal requirements, or risk management needs.

When we update the Terms, we may revise the effective date or otherwise provide notice through the website or service. Continued use of KriyaOS after updated Terms take effect means acceptance of the revised Terms.
